Sungi Development Foundation is seeking a Consultancy Firm for Tax and other legal services. Registered Firms are requested to please share their Technical and Financial proposals in hard printed form on below mentioned address:

Terms of reference of the consultancy are as below.

Scope of Work/Terms of Reference

Tax consultant

  • Prepare and submit annual income tax return of Sungi as required by Income Tax Ordinance 2001 and related rules.
  • Provide analysis and counsel on matters related to Income & Sales Tax issues related to Sungi.
  • Provide advice relating to income taxes implications on Sungi Employees Provident Fund Trust.
  • Submit application for processing income tax refund and follow-up with income tax officials.
  • Provide Tax Consultancy on issues arising from actual and anticipated lawsuits; anticipate and guard against legal risks, being faced or to be faced by Sungi.
  • Represent the organization in various legal proceedings; prepare legal pleadings, motions, discovery and stipulations as and when required.
  •  In answer to Sungi's questions and/or problems occurred in Sungi's daily operations, the Consultant shall give Sungi verbal or written legal advisory opinions in line with Tax laws and regulations, and will be responsible for the opinions and advices.
  •   Provide expert advice (where required) in development of Sungi's policies, agreements/contracts and/or other legal documents with third party/ies related to Sungi's work to address implications of Income and Sales Tax.
  • Provide Sungi with updated information over tax law revisions and latest tax regulations.
  • Update Sungi management on proceedings and outcome of the case after each hearing.
  •  Forward certified copies of court decisions with legal advice to Sungi management.
  • Advice on other taxation related matters, as and when required by Sungi.
  • Maintain documentation of Sungi’s taxation matters.
  • Keep secrecy of information while acting as a Tax Consultant of Sungi.

General Conditions of Business of the Sungi Development Foundation (Sungi) for Consultancy Contracts

The term “Sungi” shall always refer to the “Sungi Development Foundation (Sungi)” and the term “Consultant” shall refer to any individual, body corporate or representative thereof.

  1. GENERAL CONDITIONS
    1. Contractual parties shall be bound solely by conditions set down in writing. Until these have been drawn, either party can withdraw from negotiations without financial consequences and each party shall meet the expenses it has itself incurred.
    2. The Sungi alone shall be entitled to and responsible for issuing or amending instructions to and entering into any kind of commitment with the Consultant, especially concerning the contract’s duration and results.
    3. The Consultant shall, in principle, execute the contact him/herself and shall not involve any third party.
    4. Within the framework of the specific provisions of the contract and of the rules and regulations laid down in these General Conditions of Business, the Consultant shall be personally liable for and ensure the loyal and careful performance of the tasks and duties entrusted to him/her.
    5. He/she declares that he/she is well experienced in the field of activities described in the Contract. He/she promises to execute the contract carefully, thoroughly and professionally as a specialist in the subject matter and to make optimum use of the financial and technical means available.
    6. The contracting party shall neither offer a third person nor seek, accept or get promised directly or indirectly for him/herself or for another party any gift or benefit which would or could be construed as an illegal or corrupt practice.
    7. There shall not be an employee-employer relationship between the Consultant and Sungi. At no time, the Consultant or his/her agent(s), will hold themselves out to be an employee of Sungi.
    8. The Consultant shall have no authority to conclude any contracts or incur any obligations or liability on behalf of or binding upon Sungi, or to sign any document on Sungi’s behalf without written permission.
    9. The Consultant shall be entitled at any time to check or seek information about any part of the contract. The right to check or seek information may be delegated by the Sungi to third parties. Such right shall in no way influence the duty of the Consultant to execute the contract.
    10. The Consultant shall immediately inform the Client by the fastest possible means of the event, which might have a negative influence on or endanger the execution of the contract.
    11. The remuneration or fee can be fixed per full day, half day, or hour; payments per hour have to be proportionate to daily remuneration, but not exceeding a total of 08 hours per day.

 

  1. B.                 INVOICING (Billing)

 

1.         It shall be responsibility of the Consultant to invoice Sungi for any payments to be made under this agreement according to the arrangements as set out in the contract. The invoice shall include full name & address of the Consultant, date of invoice, amount payable, NTN and it must be duly signed.

2.         All invoices must reach to Sungi fifteen days before the payment becomes due to be made otherwise payment may be delayed.

3.    All claims for agreed reimbursable expenses must be accompanied by original documentation, including used boarding passes and hotel bills (as per Sungi’s policies and procedures), all claims for reimbursement of other approved expenses must be submitted promptly and will not be reimbursed unless supported by original receipts.

4.         Taxes shall be deducted as per relevant applicable laws.

 

PROCUREMENT OF MATERIALS

 

  1. In principle, any materials required for the execution of the contract exceeding the normal equipment of the Consultant shall be procured by the Consultant him/herself. The Consultant shall, in agreement with Sungi, draw up a detailed list of items to be procured. Unless otherwise agreed in the contract, the items procured by Sungi shall remain property of the Sungi.
  2. The Consultant shall handle such procurement in a professional and fund- saving manner.
  3. Sungi shall determine the further use of items thus purchased, on completion of the contract.

 

  1. C.                 REPORTS

 

  1. Utmost care shall be applied to the drafting of reports. In addition to discussion and exchanges of information, the Consultant shall provide written reports.
  2. The Consultant will provide reports on original work and not to infringe the intellectual property of a third party to the agreement.
  3. The Consultant will provide all written reports in  agreed format using Word for windows and/or Excel, as agreed upon.
  4. The language and the number copies shall be in English.

 

  1. D.                 COPYRIGHT
    1. The result of the Consultancy work and any intellectual property vested therein shall become the property of the Sungi
    2. Sungi will determine the use to be made thereof.

 

  1. E.                 CONFIDENTIALITY

 

1.         Project documents of any kind as well as any other pertinent documents, information or data entrusted to or produced by the Consultant in connection with the contract shall be considered as confidential.
